Course Description

This course concerns the predominant law applicable to international sale of goods contracts, which is the U.N. Convention on Contracts for International Sale of Goods. It also explains why knowledgeable commercial actors employ certain kinds of clauses in their sales contracts. In addition, the course covers the legal aspects of the principal payment devices international sales contracts call for. Article 2 of the Uniform Commercial Code may supplement provisions of the U.N. sales convention, where applicable, and we will discuss certain of Article 2’s provisions on occasion. No detailed knowledge of Article 2 or other parts of domestic sales law will be required.
