Course Description

This class will be targeted primarily to 3Ls to provide an experiential learning class to better prepare them for the practicalities they will face in their jobs immediately after graduation.  It will begin with a small number of sessions dedicated to going over the nuts and bolts of contract provisions that they can expect to see as they enter practice in the hope that they will require less hands-on training at their law firms and corporate jobs. Beyond the basics, however, the main  portions  of  the  class  will consist  of  review  and  markup  of  specific  transactional  documents accumulated from real life transactions, and then practice negotiations of small groups within the class, with feedback on substance and style. Finally, we will have 5-7 guest speakers/invitees for the class (some legal practitioners,  some  C-level  execs)  who  will  share  their  experience  working  through  transactions  and/or communicating with and consuming the legal function.

Grading will be primarily based on written markup assignments due directly to the instructors (not via EXPO), and class participation.

Prerequisites: Contracts (LAW 6002) recommended. Because the credits in this course count toward the JD Program Professional Skills requirement, JD candidates will be given enrollment priority for this class Concurrencies: None
